Terms and Conditions
EQUIPMENT LEASE AGREEMENT
Icon AV (referred to as "Lessor") leases the equipment described in the contract to the lessee (referred to as "Lessee"), subject to the following terms and conditions:
Lease Term: The lease begins upon equipment delivery to Lessee and ends upon equipment return to Lessor.
Rental Payments: Lessee pays the rental amount listed on the contract and other due payments to Lessor's provided address, essential to this agreement.
Equipment Location: Lessee maintains each item in safe custody at the specified location or with prior written consent from Lessor.
Equipment Inspection: Lessor may inspect the Equipment during business hours at the location.
Equipment Use: Items are to be operated properly, complying with all requirements, and used by qualified individuals.
Equipment Selection: Lessee acknowledges selecting the Equipment independently. Lessor provides no warranty regarding fitness for a specific purpose.
Alterations: Lessee shall not make alterations without Lessor's written consent.
Insurance: Lessee insures the Equipment for its replacement value and provides proof of insurance upon Lessor's request.
Maintenance: Lessee maintains the Equipment, covering costs for damages while in custody and promptly reports any defects.
Equipment Return: Lessee returns the Equipment promptly, bearing the return costs.
Lessee's Warranties: Lessee warrants the lease's authorization, completeness of provided information, and ability to fulfill obligations.
Indemnity: Lessee indemnifies Lessor against liabilities, claims, expenses related to Equipment use or this lease.
Default: Events constituting default include failure to pay, breach of obligations, bankruptcy, or insolvency.
Remedies: Lessor may declare remaining fees due, repossess Equipment, and exercise other remedies.
Ownership: Lessee acknowledges Lessor's ownership and agrees not to challenge Lessor's rights to the Equipment.
Assignment: Lessee cannot sublease or assign the lease without Lessor's written consent.
Additional Documents: Lessee provides necessary documents requested by Lessor to protect Lessor's interests.
Additional Provisions: This lease can only be amended in writing signed by both parties. It doesn't establish a partnership between the parties. The failure to enforce any provision doesn't waive rights. This agreement is governed by California State laws.
Collection and Legal Fees: Lessee is liable for legal and collection fees due to defaults.
